Six Flags Acquires 40% Equity Interest In dick clark productions

NEW YORK, June 19 /PRNewswire-FirstCall/ -- Six Flags, Inc. (NYSE: SIX), the world's largest regional theme park company, announced today that it has acquired a 40% equity interest in dick clark productions, inc. ("dcpi"). RedZone Capital ("RedZone"), a Virginia-based private equity fund managed by Six Flags directors Daniel M. Snyder and Dwight C. Schar, will acquire the majority 60% interest.

Mark Shapiro, Six Flags President and CEO, said, "Over the last year and a half, we have been working to transform Six Flags into an ideal experience and destination for unparalleled family entertainment; this transaction is another step in that evolution."

Founded by television legend Dick Clark, dcpi is owner of the world's most unique and extensive library of live televised music and is a leading independent producer of television programming and special events, many of which continue to shape America's entertainment legacy, including:

    - The internationally televised Golden Globe Awards (R) (1983-present,
     NBC), the first of each season's major awards ceremonies, which
     celebrate film and television achievements;
   - The American Music Awards (R) (1975-present, ABC), honoring the year's
     best work in music;
   - Academy of Country Music Awards (R) (1979-present, CBS), which recognize
     the year's top artists in country music;
   - New Year's Rockin' Eve (R), which has been an American tradition since
     1972, bringing major entertainment and music stars to New York City's
     Times Square to celebrate the midnight "ball drop" countdown to the New
     Year;
   - "American Bandstand,"(R) the groundbreaking legendary television show
     which still represents the music industry's gold standard for

     pass sales at all 20 of its parks;
   - SixFlags.com lottery for backstage passes to the American Music Awards;
   - Exclusive theme park use of dcpi libraries, including "American
     Bandstand," "Bloopers," and past award shows for in-park use and
     marketing;
   - Rebranding the company's Thursday Night Summer Concert Series as the
     American Music Awards Concert Series in 2008;
   - "American Bandstand" concerts at Six Flags; and

The total purchase price for dcpi is $175 million; Six Flags acquired its 40% equity interest for $40 million. Daniel M. Snyder will become Chairman of the Board of Directors of dcpi, and Mark Shapiro and Michael Antinoro, Six Flags Executive Vice President of Entertainment and Marketing, will be members of the board. Terry Bateman, formerly Chief Marketing Officer of the Washington Redskins where he was responsible for the team's marketing, sponsorship and business strategy, will be dcpi's Chief Executive Officer. dcpi also has formed a relationship with top Los Angeles-based talent and literary agency Creative Artists Agency for representation.

Six Flags, Inc (commonly Six Flags) is one of the world's largest chain of amusement parks and theme parks based on quantity of properties. The company maintains 21 properties located throughout North America, including theme parks, water parks and family entertainment centers. In 2007, Six Flags properties hosted approximately 24.9 million guests, making it the fourth-most popular theme park company in the world.

The company's headquarters are located in Texas and took its name from its first property, Six Flags Over Texas, and the six flags that have flown over the state of Texas during its history, namely those of Spain, France, Mexico, The Republic of Texas, The Confederate States of America, and the United States of America.

Beginnings

The Six Flags chain began in 1961 with the creation of Six Flags Over Texas by Angus G. Wynne of Arlington, Texas, which initially featured a Native American village, a gondola ride, a railroad, some Wild West shows, a stagecoach ride, and "Skull Island", a pirate-themed adventure attraction. There was also an excursion aboard "French" boats through a wilderness full of animated puppets. Over time, all of those attractions, except for the railroad, would be replaced by others, such as roller coasters, swing rides, log flumes, and shoot-the-chute rides, as well as an observation tower.

Acquisition by Premier Parks

Six Flags Theme Parks Inc. was purchased in whole on April 1, 1998 from Time Warner by Oklahoma City-based Premier Parks for $1.86 billion. Premier then began to apply the Six Flags name to a number of smaller parks that the company had already owned, including Darien Lake, Elitch Gardens, Kentucky Kingdom and Adventure World.

In 2000, Premier Parks assumed the Six Flags Theme Parks, Inc. name and continued re-branding its parks, most notably the former Geauga Lake into Six Flags Ohio. Six Flags began vigorously expanding, attempting to branch out internationally, acquiring numerous properties across the country and overseas including the Walibi and Warner Bros. Movie World chains and historic Belgian park Bellewaerde in Europe, La Ronde in Canada, and Reino Aventura in Mexico. Three of those parks were re-branded as Six Flags parks--Walibi Flevo became Six Flags Holland, Walibi Wavre became Six Flags Belgium and Reino Aventura became Six Flags Mexico.

In 2001, Six Flags acquired the former SeaWorld Ohio from Busch Entertainment Corporation, merged it with the adjacent Six Flags Ohio and re-branded the park again, this time into Six Flags Worlds of Adventure. The park was positioned to compete against northern Ohio's more famous amusement park, Cedar Point.

Sell-off of assets and shareholder revolt

The company lost money every year since 1998, amassing more than $2 billion in debt, which some analysts say is due to over-expansion and mismanagement. In 2004, Six Flags began to close and sell properties in an effort to help alleviate the company's growing debt. On March 10, Six Flags sold its European parks, with the exception of the Movie World park in Madrid, Spain, to Star Parks Group. The Madrid park was sold back to Time Warner and renamed "Parque Warner Madrid." In April of that year, Six Flags determined that the investment required to keep Worlds of Adventure competitive with Cedar Point would be too great, and thus the company sold the park to Cedar Fair, the owner of Cedar Point. These sales raised $345 million dollars in an effort to relieve Six Flags' massive debt.

In 2005, Six Flags endured even more turmoil. Some of the company's largest investors, notably Bill Gates' Cascade Investments (which owns about 11% of Six Flags) and Daniel Snyder's Red Zone, LLC (which owns 12%), demanded change. Indeed, on August 17, 2005, Red Zone began a proxy battle to gain control of Six Flags' board of directors. Later that month, Six Flags New Orleans would be severely damaged by Hurricane Katrina.

On September 12, 2005, Six Flags Chief Executive Officer Kieran Burke announced that Six Flags Astroworld would be closed and demolished at the end of the 2005 season. The company cited issues such as the park's performance, and parking issues involving the Houston Texans football team, Reliant Stadium, and the Houston Livestock Show and Rodeo, leveraged with the estimated value of the property upon which the park was located. Company executives were expecting to receive upwards of $150 million for the real estate, but ended up receiving $77 million when the bare property (which cost $20 million to clear) was sold to a development corporation in 2006. On November 22, 2005, Red Zone announced it had gained control of the board. Kieran Burke was removed on December 14, 2005 and replaced by Mark Shapiro, former Executive Vice President of Programming at ESPN. Six Flags then named former Representative Jack Kemp, entertainment mogul Harvey Weinstein, and the former president, Michael Kassan, of the Interpublic Group of Companies Incorporated, a global marketing and advertising agency, to their newly revamped board of directors.

Even with the new management team, the sell-off would continue into 2006. On January 27, Six Flags announced the sale of the Frontier City theme park and White Water Bay water park, both located in Oklahoma City, Oklahoma, at the conclusion of the 2006 operating season. At the same time, Six Flags also announced its plan to close corporate offices in Oklahoma City, moving its headquarters to New York City. Six Flags CEO Mark Shapiro said he expects the parks to continue operation after the sale, a lesson the company learned after its public relations debacle with the closure of Astroworld.

In June of 2006, Six Flags announced it was considering closing or selling up to six of its parks, including Elitch Gardens, Darien Lake, WaterWorld in Concord, California, Wild Waves and Enchanted Village in Federal Way, Washington, Splashtown in Houston, Texas and, most notably, Six Flags Magic Mountain. In addition, Six Flags also announced the sale of Wyandot Lake in Powell, Ohio to the Columbus Zoo and Aquarium, which is located next to the park. Ultimately, Six Flags Magic Mountain was spared, with the remaining six parks sold on January 11, 2007 to PARC Management for $312 million, $275 million cash and a note for $37 million. PARC 7F, of Jacksonville, Florida, is expected to sell the parks to CNL Income Properties Inc., a real-estate trust based in Florida, and then lease them back.

Six Flags Dubailand

In March 2008, Six Flags announced that the new "Six Flags Dubailand" will be developed at the 3-billion-square-foot Dubailand complex. The park will be one of several theme parks planned for the large development, the park is planned to open in 2011 as the first Six Flags park developed in the Middle East, and the first international expansion under new Six Flags corporate management.

most twisted stand-up steel coaster, features over 4,300 feet of green track
and makes its home at Six Flags Magic Mountain?
That's right - Riddler's Revenge at Six Flags Magic
Mountain in Valencia, California debuted on April 4th, 1998 as the most
record-breaking stand-up ride the world had ever seen. Coiling through six
inversions and four types of inversions during the two-minute-long ride,
Riddler's Revenge is a record-breaking coaster and a whole lot more. Six Flags
Magic Mountain has always been known for outdoing themselves from year to year,
and 1998 was certainly not a year for the park to break tradition. The Riddler
dominates over Magic Mountain's Gotham City section and reduces the adjacent
1994 Bolliger and Mabillard-crafted inverted looper Batman: the Ride to a mere
technological breakthrough of the early 1990s. Coming
from B&M as well, Riddler's Revenge is the Swiss designers' latest stanup
multi-looping, multi-inversion masterpiece, with an inversion lineup of one
Vertical Loop, one Inclined Loop, two Diving Loops and two Corkscrews, with
1,180 degrees of other non-inverting curvature contained in the course.

One of the Riddler's three trains are boarded, riders pulling down
over-the-shoulder restraints in the stand-up position, then it's out of the
station and around a right-hand curve to the lift. In route to the top, the
lift-hill crosses first through the center of a Dive Loop then through a
Vertical Loop. Once the 156-foot heights are achieved, it becomes apparent that
the Riddler has had his revenge on Batman, as Batman: the Ride below cowers down
in front. Without lingering for too long, Riddler's Revenge begins its first
twisting descent and then blasts up into the first lift-encircling loop. Next is
a first Diving Loop to send passengers twisting up and diving down in the
opposite direction and right into a second Dive Loop, this time twisting
around the lift. The fourth consecutive inversion comes with an Inclined
Loop sending the train around and up to the left at a 45-degree angle. A
quick hop leads the ride to an upwards spiral onto mid-course block brakes,
but Riddler's Revenge gets going again with a head-over-heels Corkscrew flip
into a banked curve to the left. Ascending a rabbit hop, the green track
heads into a Carousel Cuve under the lift hill and through a final Corkscrew
before the ride concludes with a 180-degree curve onto the brakes.

Employees of Six Flags Theme Parks Inc.( ("Sponsor"), Konami Digital Entertainment, JPMorgan Chase & Co., their advertising and promotion agencies involved with this Promotion, including Don Jagoda Associates, Inc., and each of their respective parent companies, subsidiaries, divisions, affiliates and related companies, immediate family members and/or those living in the same household of such employees (collectively, "Promotion Entities") are not eligible to participate or win. By entering the Promotion, participants are bound by and agree to these official rules. All federal, state and local laws and regulations apply. Void in Florida and where prohibited by law.

2. Sponsor: The Sponsor of the Promotion is Six Flags Theme Parks Inc., 1540 Broadway, 15th Floor, New York, NY 10036.

3. Promotion Period: The Promotion begins at 10:00 A.M. ET on 7/3/2008 and ends at 11:59 P.M. ET on 8/1/2008 (the "Promotion Period").

4. How to Enter During the Promotion Period: To enter the Promotion, visit www.sixflagssundayrockssweeps.com and complete the online registration form as required. Entries will be subject to standard Internet access and usage charges imposed by your Internet service provider. Limit one entry per person/email address per day. Any attempt by any participant to obtain more than the stated number of entries by using multiple/different e-mail addresses, identities, registrations and logins, or any other methods will void that participant's entries and that participant may be disqualified. Entries must be complete to be eligible. All entries must be received by 11:59 P.M. ET on 8/1/2008.

5. Conditions for Participation and Validation of Entries. Entries generated by a script, macro, robotic or other automated means will be disqualified.

USE OF COMPUTER PROGRAMS TO ENTER AND/OR OTHER AUTOMATIC
ENTRY METHODS (SUCH AS HACKS OR BOTS), IS STRICTLY PROHIBITED.

Sponsor reserve the right to disqualify, and block or discard all entries from any individual who enters by any kind of electronic, mechanical or other automated means or otherwise tampers with or hacks the entry process as determined by the Sponsor in their sole discretion. Sponsor also reserve the right, in its sole discretion, to cancel, modify or suspend the Promotion in the event of a computer virus, bugs, tampering, unauthorized intervention, fraud, technical or system failure or disruption, force majeure or any other causes which, in their sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Promotion and award prizes in a random drawing from all eligible entries received prior to cancellation.

CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL
TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor is not responsible for late, lost and/or incomplete entries, which will be disqualified.

6. Random Drawing: Winners will be randomly selected on or about August 4, 2008, from among all eligible entries received. Drawing will be conducted by Don Jagoda Associates, Inc., an independent judging organization whose decisions will be final on all matters relating to this Promotion. Odds of winning will be dependent upon the number of eligible entries received. All prizes will be awarded and winners will be notified by telephone/mail. Prizes are nontransferable and no substitutions are allowed except by the Sponsor who reserves the right to award a prize of equal or greater value. Promotion Entities assume no responsibility or liability for damages, losses or injury resulting from acceptance or use of any prize.

7. Prizes and Approximate Retail Value ("ARV"): Grand Prize (1): A Konomi Music Revolution Prize Pack, including a Nintendo Wii gaming console, Dance Dance Revolution, Rock Revolution, and Karaoke Revolution. The ARV of the Grand Prize is U.S. $425. First Prize (10): A $50 Chase gift card. Total ARV of all prizes: $925. Limit one prize per person. Gift card subject to expiration date and additional restrictions may apply. Gift Cards are subject to terms and conditions on the back of each card and as otherwise specified by Chase. In the event a winner is deemed a minor in his/her state of residence, prize will be awarded in the name of parent/legal guardian.

8. Winner Notification: Grand and First Prize winners will be notified by phone or mail. Grand and First Prize winners may need to verify mailing address within 10 days of notification attempt or the prize will be forfeited and an alternate winner selected. If prize or prize notification is returned as non-deliverable, the potential winner will be disqualified and an alternate winner will be selected.

9. General Conditions: By entering, entrants fully and unconditionally agree and accept to be bound by these complete Official Rules and the decisions of the Sponsor, which shall be final. Except where prohibited, all winners grant to the Promotion Entities the right to use, and publish his or her proper name, likeness, voice, opinions, biographical information and state without additional compensation. The Promotion Entities are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incorrect, incomplete, or unintelligible entries; (ii) telephone, electronic, hardware, software program, network, Internet or computer failures or difficulties; (iii) errors in transmission; (iv) any condition caused by events beyond their control that may cause the Promotion to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, use or misuse of a prize, or from participation in the Promotion; or (vi) any printing or typographical error in any materials associated with these Official Rules or the Promotion generally. Entrants assume all liability for any injury or damages caused or claimed to be caused by their participation in the Promotion and/or the acceptance and/or use of any prize, and release the Promotion Entities and their respective officers, directors, employees, parents, subsidiaries and affiliates from any and all such liability. The Promotion Entities and their respective officers, directors, employees, parents, subsidiaries and affiliates assume no responsibility for any injury or damage to participants or to any other person's computer relating to or resulting from entering or downloading materials or software in connection with this Promotion.

Sponsor may prohibit any entrant or potential entrant from participating in the Promotion, if at the sole discretion of Sponsor, such person shows a disregard for these Official Rules, or acts (1) with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsors, or their agents or representatives; or (2) in any other disruptive manner. In the event of a dispute as to the identity of an entrant, the authorized account holder of the email address used to enter, if applicable, will be deemed to be the entrant. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

10. Disputes: Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prize awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in New York, New York; entrant submits to sole and exclusive personal jurisdiction to said courts in the State of New York for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Sponsor in connection with Promotion shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of New York, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
